Sysco to buy Jetro Restaurant Depot in 29.1 bln usd deal
(Il Sole 24 Ore Radiocor) - Milano, 30 mar - US food distributor Sysco said it had agreed to acquire Jetro Restaurant Depot in a deal valued at 21.9 billion dollars.
Sysco said the acquisition would allow it to enter the high-margin, growing, and resilient Cash & Carry channel.
Under the agreement, Jetro shareholders will receive 21.6 billion dollars in cash and 91.5 million Sysco shares.
Sysco will fund the cash portion through 21 billion dollars in new debt and hybrid debt, plus 1 billion from cash on hand or equity securities.
Following the deal, Jetro shareholders will own around 16% of Sysco's outstanding common stock.
Jetro operates 166 warehouse stores across 35 states, serving more than 725,000 independent restaurants and foodservice operators.
The combination is expected to realize around 250 million dollars in annualized net cost synergies within the first three years.
