Sturm Ruger agrees strategic pact with Beretta
(Il Sole 24 Ore Radiocor) - Milano, 4 mag - Sturm Ruger and Beretta Holding said they had entered a strategic cooperation agreement under which Beretta will be allowed to increase its shareholding in its rival to up to 25%.
The minimum partial tender offer price shall be 44.80 dollars per share in cash, a 20% premium to the 60-day volume-weighted average share price prior to Beretta's offer announcement.
Beretta will have the right to nominate up to two independent directors following the 2026 shareholders meeting and regulatory approval.
At that time, the company will temporarily expand the board.
As part of the agreement, Beretta has committed to a three-year standstill, during which it will not, among other things, initiate or support any proxy contest or similar action.
The pact comes after Beretta in February disclosed a 9.95% stake in Ruger and nominated four independent nominees for.
the company's board.
