Shell buys Arc Resources in cash, stock deal worth 13.6 bln usd
(Il Sole 24 Ore Radiocor) - Milano, 27 apr - The Anglo-Dutch oil and gas company Shell said that it has entered into a definitive agreement to acquire Arc Resources, an energy company focused on the Montney shale basin in the Canadian provinces of British Columbia and Alberta, in a cash and stock deal worth 13.6 billion US dollars.
Shell will also take on approximately 2.8 billion US dollars in net debt and leases resulting in an enterprise value of approximately 16.4 billion dollars.
The deal will be funded at 3.4 billion dollars in cash at 10.2 billion dollars in Shell shares through the issuance of approximately 228 million ordinary shares.
Arc's shareholders will receive 8.20 Canadian dollars in cash and 0.40247 ordinary shares of Shell for each share held.
