(Il Sole 24 Ore Radiocor) - Milano, 9 giu - Novanta said it had agreed to acquire Riverpoint Medical for up to 1.45 billion dollars in a move to shift its portfolio to more durable and recurring revenue streams.

The medical and industrial-technology company said it would buy Riverpoint from private-investment firm Arlington Capital Partners for 1.2 billion dollars in cash and a 250 million milestone payment in the first quarter of 2027.

Riverpoint is expected to generate adjusted EBITDA, including synergies, of approximately 80 million dollars in 2027.

Novanta said it had identified more than 80 million dollars in potential cumulative profit and cash flow synergies over five years after closing.

The deal is expected to close in the third quarter of this.
