Deal values Base Resources shares 0.302 dlr each (Il Sole 24 Ore Radiocor) - Sydney, 22 Apr - The US uranium producer Energy Fuels has agreed to acquire 100% of the issued shares in the Australian company Base Resources for 375 million Australian dollars, according to a statement.

Under the terms of the transaction, Base Resources shareholders will receive 0.0260 Energy Fuels common shares plus 0.065 Australian dollars in cash via an unfranked special dividend payable by Base Resources for each share held.

The transaction implies an offer price of 0.302 Australian dollars per share for Base Resources of and represents a premium of 188% to Base Resources' last closing price of 0.105 Australian dollars per share on April 19.

When the transaction is completed, Base Resources shareholders will hold 16.4% of the combined group, which will have a pro forma market capitalisation of approximately 1.144 billion US dollars.
