Commerzbank sees no basis for deal with UniCredit after talks --
(Il Sole 24 Ore Radiocor) - Milano, 7 apr - Commerzbank said it sees no basis for a deal with Italy's UniCredit after recent interactions between the two banks.
In a statement, the German bank said the lenders had met several times to discuss the basis and benefits of a transaction, but "an agreed solution is currently not evident." Interactions with UniCredit have not demonstrated sufficient value upside potential for its shareholders beyond the current standalone strategy, it said.
"UniCredit has also shown no willingness to offer Commerzbank shareholders a necessary adequate premium," it said.
UniCredit, Commerzbank's largest shareholder, launched a takeover offer on the German lender last week to bring management to the negotiating table for a potential combination.
Commerzbank said UniCredit's actions and announcements to date had been repeatedly made without prior coordination with Commerzbank.
"This approach makes it difficult to build the mutual trust necessary for a successful transaction," it said.
