CORPORATE GOVERNANCE COMMITTEE APPROVES TEXT
FOR
THE CODE OF CONDUCT FOR LISTED COMPANIES

The Corporate Governance Committee met today at Palazzo Mezzanotte, headquarters of Borsa Italiana, to conclude its examination of the new Code of Conduct for listed companies.

During the meeting, a proposal for articles prepared by the Working Group was discussed, encompassing several issues, including the internal control system, the Internal Control Committee and the Board of Auditors, Directors’ interests, transactions with related parties, shareholder relations, corporate governance reporting and alternative administration and control systems.

The Corporate Governance Committee approved the unabridged text of the Code, assigning the task of final drafting for publication to Borsa Italiana and to the Board of Experts.
